These Foundation Model Supplementary Terms ("CompanyDNA FM Terms") form a part of, and are subject to, the Master Services Agreement and Personal Use Terms of Service, as applicable, between you and CompanyDNA AI Inc. (the "Agreement"). These CompanyDNA FM Terms apply to your access and use of CompanyDNA features that involve the use of Foundation Models such as Large Language Models ("LLMs") or any content generation model provided by Foundation Model Providers ("FMP"). Any terms used herein have the same meaning as in the Agreement.
Customer acknowledges that the services provided by Foundation Model Providers are subject to technical evolutions, and that their terms and policies may change from time to time. Consequently, CompanyDNA may need to update or modify these CompanyDNA FM Terms to reflect such changes. In the event of changes to the services or terms offered by FMPs, the Customer expressly acknowledges that CompanyDNA cannot be held liable, and that CompanyDNA cannot guarantee that these updates will not adversely affect CompanyDNA’s Services.
Some Foundation Model Provider Services are provided pursuant to a usage-based model, and as a result, your use of CompanyDNA’s Services is subject to usage restrictions. You acknowledge and agree that if you exceed the corresponding usage permitted by your Subscription Plan: (i) you may be required to upgrade your Subscription Plan to continue accessing CompanyDNA’s Services; and (ii) CompanyDNA may disable or degrade the performance of features involving data exchanges with Foundation Models. All Users are restricted to 50 user messages per three-hour period and 1500 user messages per 30-day period.
When using Foundation Model provider services, you authorize CompanyDNA to transfer Customer Data (including Customer Personal Data) to this third-party provider of the Foundation Model Provider Service in accordance with its functionality and pursuant to the Data Processing Agreement ("DPA").
CompanyDNA does not use your Customer Data or grant other Third-Party Service Providers the right to use your Customer Data to train their Foundation Model or services. Your use of CompanyDNA’s Services does not grant CompanyDNA any right to use or license your Customer Data to train CompanyDNA’s or any third-party machine learning models or any External Provider Services.
Artificial intelligence and machine learning models can improve over time to better address specific use cases. We may use Usage Data we collect from your use of CompanyDNA’s Services to improve how our models serve you when you (i) voluntarily provide Feedback to us, such as by labeling Output with a thumbs up or thumbs down, or (ii) give us your permission to do so.
You may provide input to be processed by CompanyDNA’s Services ("Inputs") and receive output generated by Foundation Model Provider services, based on the Input ("Outputs" or "Foundation Model Outputs"). In the context of this agreement, Inputs and Outputs are deemed to be your User Content. You are solely responsible for your use of this User Content. You will ensure that your Inputs, use of CompanyDNA’s Services, and use of Outputs will not (i) violate any applicable law; (ii) violate these CompanyDNA FM Terms, the Agreement, or our [Acceptable Use Policy]; or (iii) infringe, violate, or misappropriate any of our rights or the rights of any third party.
You may not use the Services or Outputs (i) to develop foundation models or any service that competes with CompanyDNA’s Services; (ii) to mislead any person using the Output from the Services; (iii) to generate content with the intention of manipulating people (such as spam or content for dissemination in electoral campaigns); or (iv) in a manner that violates any of CompanyDNA’s technical documentation, usage guidelines, or parameters.
If you choose to use services provided by Foundation Model Providers through the CompanyDNA platform, you may not violate any Foundation Model Provider’s policy.
COMPANYDNA DOES NOT MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF COMPANYDNA SERVICES OR THE ACCURACY OF ANY FOUNDATION MODEL OUTPUT OBTAINED THROUGH COMPANYDNA SERVICES. YOU UNDERSTAND AND AGREE THAT ANY FOUNDATION MODEL OUTPUT, MATERIAL, AND/OR DATA OBTAINED THROUGH THE USE OF ANY COMPANYDNA FEATURE IS DONE AT YOUR SOLE RISK. YOU SHOULD NOT RELY ON FACTUAL ASSERTIONS IN FOUNDATION MODEL OUTPUT WITHOUT INDEPENDENTLY FACT-CHECKING THEIR ACCURACY. OUTPUTS THAT APPEAR ACCURATE BECAUSE OF THEIR DETAIL OR SPECIFICITY MAY STILL CONTAIN SIGNIFICANT INACCURACIES. OUTPUTS MAY NOT ACCOUNT FOR EVENTS OR CHANGES TO UNDERLYING FACTS OCCURRING AFTER THE FOUNDATION MODEL WAS TRAINED. NO INFORMATION OR ADVICE, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM COMPANYDNA SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.
